Eolo Energia exceeds Fri-El in the pubblic tender offer on Alerion

Milan, November 30, 2016 -  Following the purchases outside the stock exchange market today, accounting for 2.13% of the capital and of those already announced in recent days, the Alerion Clean Power participation of Eolo Energia (Edison and E2i) has reached 14.66% of the capital and, added to the participation already hold by F2i corresponding to 16.03% of the capital, it holds now 30.69% of the capital, exceeding the participation indicated in 29.98 by Fri-El with its tender public offer. It has to be remembered that, as already communicated, F2i and Edison have subscribe shareholders agreements in which they have taken specific governance obligations at the end of tender offer with regard to Alerion management.

Furthermore, considering that the shares already given to Fri-El tender public offer are more, in number, to the maximum amount covered by the offer itself,  and that Fri-El said it had already purchased 27.7% of the capital of Alerion outside the offer, the shareholders that have subscribed such offering will suffer a significant allotment and thus they will not be able to sell to Fri-El all of their shares.

Conversely, the subscription of the Eolo Energia tender offer, which will end on December 2, gives the opportunity to Alerion shareholders to cash in all the shares they held, without any uncertainty. Eolo Energia public tender offer gives also the opportunity to sell shares held in Eolo before they become less liquid because of the contraction of the free float.

Edison is confident in the success of its tender offer and it is sure to achieve its objective, which is consistent with the development strategy in the wind sector.
