Annual disclosure document

Scope
The Annual Disclosure Document of Edison Spa, prepared pursuant to ex Article 54 of the Issuers’ Regulations, published by the Consob in Resolution No. 11971 of May 14, 1999, as amended in February 2012, lists all of the information that the Company published or made available to the public during the previous 12 months in one or more EU member countries or other countries, in compliance with requirements arising from EU and national regulations governing securities, concerning the corresponding issuers and the markets where the securities are traded.

Structure
In order to facilitate its consultation, the Annual Disclosure Document is divided into chapters corresponding to the different types of information referred to above:
 
  • Price sensitive press releases.
     
  • Paid announcements and/or notices to the public.
     
  • Accounting documents.
     
  • Corporate Governance Reports.
     
  • Presentations to the financial community.
     
  • Documents other than financial statements prepared for Shareholders’ Meetings.
     
  • Internal dealing disclosures.
     
  • Annual Disclosure Document.
     
  • Bylaws.
     
  • Announcements of changes in share capital.
     
  • Bond issues
     
  • Information Memorandum
     
  • Documents concerning mergers of subsidiaries.
     
Within each chapter, the documents are listed in chronological order based on their publication date, by subject or type of document and location where the documents are available.

Advertising
The Annual Disclosure Document is filed with the Consob and made available to the public each year within 20 days from the publication of the annual financial statements.
