Edison: Umberto Quadrino reappointed chairman

Public disclosure required by Consob Resolution No. 11971 of May 14, 1999, as amended. Umberto Tracanella is also reappointed Deputy Chairman

Milan, April 19, 2005 - Following the conclusion of the Stockholders’ Meeting, Edison’s Board of Directors reelected Umberto Quadrino Chairman and named him Chief Executive Officer. The Board also reaffirmed the Company’s existing rules of corporate governance.

In addition, the Board of Director reappointed Umberto Tracanella Deputy Chairman. As was the case in his previous term of office, Mr. Tracanella will have all of the powers enjoyed by the Chairman when serving as his replacement.

Lastly, the Board of Directors verified that four of the 12 Directors elected by the Stockholders’ Meeting qualify as independent Directors. They are: Paolo Iovenitti, Sergio Pininfarina, Umberto Tracanella and Dario Velo.

The entire Board thanked Giulio Del Ninno for the dedication in his work for the Company and for the results he achieved over the years. Mr. Del Ninno, who will continue to serve on Edison’s Board of Directors and as Edipower’s CEO, joined Edison in 1988. Since 1996, he served as Edison’s Chief Executive Officer.
