Milan, April 29, 2021 - Edison announces the new composition of the share capital following the effectiveness (from April 27, 2021) of the resolution to reduce the share capital represented by ordinary shares (for € 640,883,421.00), taken by the Extraordinary Shareholders' Meeting of March 31, 2021 (the "Reduction of the Ordinary Share Capital").
The Reduction of the Ordinary Share Capital by canceling n. 640,883,421 ordinary shares will be registered directly by the intermediaries participating in the Monte Titoli system in the shareholders' accounts on May 10, 2021 (record date May 7, 2021). Any ordinary shares in excess by the sum of the fractions resulting from the cancellation ratio equal to 0.12167 for each Edison ordinary share held at the record date, will be withdrawn by the controlling shareholder Transalpina di Energia S.p.A. at the price of € 1 for each share on May 14, 2021.
Below is the table with the changes in the composition of the share capital, also taking into account the effects of the exercise of the voluntary conversion of no. 50,128 savings shares in an equal number of ordinary shares (the Voluntary Conversion).
In this regard, it should be noted that the ordinary shares deriving from the Voluntary Conversion which, as last specified in the press release published on April 7, 2021, were excluded from the Reduction of the Ordinary Share Capital, will be made available to those entitled on the fifth trading day following the aforementioned record date, and therefore on May 14, 2021.
